A server is running Windows Server 2003 Standard Edition. Can i
install/upgrade Windows Server 2003 R2 Std Edt over Windows Server 2003

Yes.  R2 is actually just Windows 2003 with an extra install that runs.  When
R2 was first brought out you could download the R2 pack and install it - with
the appropriate license key of course.  If you have the Windows 2003 R2 CD,
just stick CD2 in and run the install.  If you have 2003 installed, it will
no doubt prompt from an R2 license key.

and Windows 2003 R2 with SP2.

SP2 is just bug fixes.  R2 formalised a bunch of free downloads like
Sharepoint services and put them into a pack, along with a bunch of other
goodies like enhanced DFRS.....see this link

Just to clarify whether i am right?
Is R2 an Operating System?
Basically, the reason why i want to use R2 cause i just need to have the
in one of the server. Do i  need to purchase license?
Do I need to have a Windows 2003 Server Std Edt operating system running in
a machine before i can install R2?
